Terms of use

The rules that govern how creators and buyers use Kivoo: Kivoo’s role, accounts, stores and products, commission, payouts, delivery, suspension and liability.

1. Purpose and acceptance

Kivoo is an online platform, available at kivoo.africa, dashboard.kivoo.africa and kivoo.co, that lets creators open a store, sell digital products in it and collect payments from their buyers. Kivoo is published by Kivoo [legal name, legal form and address to be specified].

These terms of use apply to anyone who uses Kivoo, whether they open a store (the “creator”) or buy from a store (the “buyer”). By creating an account, publishing a store or confirming a purchase, you accept these terms without reservation. If you do not accept them, do not use Kivoo.

In this text, a “store” means a creator’s selling space on kivoo.co, a “product” means a digital item offered for sale in a store, and the “commission” means the percentage Kivoo keeps on each paid sale.

2. Kivoo’s role

Kivoo is a technical intermediary between the creator and the buyer. Kivoo provides the tools to create a store, present products, collect payments through payment providers, deliver digital products automatically and pay creators the proceeds of their sales.

The sale contract is concluded directly between the creator and the buyer. Kivoo is neither the seller nor the owner of the products offered, does not create them and does not review them before publication. The creator alone is responsible for their products, their description, their price and compliance with the laws that apply to them.

Kivoo collects payments in the name and on behalf of the creator, keeps its commission and holds the balance until the creator requests a payout.

3. Account and sign-in

A Kivoo account is required to open a store. Signing in needs no password: you use a one-time code sent to your email address, or a Google, Facebook or X account. Several sign-in methods can be attached to the same account.

Anyone who can access your mailbox or your Google, Facebook or X account can sign in to your Kivoo account. You are responsible for the security of those accesses and for every action taken from your account. Sign out on shared devices and tell support if you suspect unauthorised access.

You must have the legal capacity to enter into contracts in your country and provide accurate, up-to-date information. An account is personal: it cannot be transferred or shared.

A purchase creates, or attaches to an existing account, the email address given at checkout, so that the buyer can find their purchases again by signing in with that address. You can delete your account at any time from your dashboard.

4. Stores and products

An account can open several stores. Each store has a public address of the form store-name.kivoo.co. Today Kivoo only supports selling digital products delivered as files; online courses, licenses and coaching will be added over time. Selling physical goods and services is not supported.

The creator freely sets the price of their products in the store’s currency. They are responsible for how their products are presented, for the accuracy of descriptions, for the tax and reporting obligations that apply to them, and for the information they must give buyers under the law of their country.

The creator warrants that they hold every right needed on the content they publish and sell. They grant Kivoo a non-exclusive licence, limited to what is necessary to host, display, deliver and promote their store and products on the platform, for as long as they are online.

The following content and practices are prohibited in every Kivoo store:

  • content that infringes a copyright, a trademark or any other third-party right, including reselling files, books, courses or software the creator did not author or is not licensed to distribute;
  • illegal content, content inciting hatred, violence or discrimination, or content that violates human dignity;
  • sexual content involving minors, and any pornographic content;
  • malware, hacking tools, personal data obtained without consent, forged documents or credentials;
  • scams, pyramid schemes, promises of guaranteed earnings, unauthorised financial products or gambling;
  • products whose sale is regulated, without the required authorisations (medicines, medical or legal advice presented as professional without qualification, and so on);
  • any misleading practice: false descriptions, fake reviews, empty files or files unrelated to what is sold, displayed prices that differ from the amount charged.

5. Commission

Opening a store is free. Kivoo earns a commission of 10% of the amount of each paid sale. The commission is taken at the time of payment and the balance of the sale is immediately credited to the creator, net of commission.

The commission rate applied to a sale is frozen on the order at the time of payment: a later change of the rate, up or down, only concerns sales paid after that change. Kivoo may exempt a store from commission, for its future sales only.

The current rate is displayed on the Pricing page and in the dashboard. Kivoo will inform creators by email at least fifteen days before any change of the rate. The commission is the only amount Kivoo keeps on a sale; any fees charged by the Mobile Money operator or the bank on a payout are not collected by Kivoo.

6. Balance and payouts

A store’s balance is the amount of paid sales, minus Kivoo’s commission, minus payouts already made. It can be checked at any time in the dashboard.

The creator requests a payout from their dashboard, to a Mobile Money account or a bank account in their name. They are responsible for the accuracy of the details they provide: a payout sent to wrong details supplied by the creator cannot be reversed by Kivoo.

Kivoo processes payout requests within a reasonable time, normally within five business days. Kivoo may verify the creator’s identity or the ownership of the destination account before a payout, and may hold or delay a payout in case of suspected fraud, a buyer complaint, a disputed payment or a request from an authority. A minimum payout amount may apply; it is shown in the dashboard.

7. Purchases and delivery of digital products

No account is needed to buy. The buyer provides a valid email address, their name and, if they wish, a phone number so the creator can reach them. Payment is made by Mobile Money or any other method offered at checkout, through a payment provider. The order is confirmed when the provider confirms the payment.

As soon as the payment is confirmed, the buyer receives by email a download link valid for a limited time. After that, they find their purchases again by signing in at dashboard.kivoo.africa with the email address used at checkout. It is up to the buyer to check the address they entered and to look in their spam folder.

Unless the creator states otherwise on the product page, the buyer obtains a personal, non-exclusive licence to use the product. They may not resell, share, publish or distribute it, in whole or in part.

A digital product is made available immediately after payment. To the extent permitted by applicable law, the buyer acknowledges that they have no right of withdrawal once the download has been made available. If a file is inaccessible, damaged or does not match its description, the buyer first contacts the creator through the store’s Contact page, then Kivoo support if no solution is found.

Refunds are decided by the creator. Kivoo may nevertheless refund a buyer in the creator’s place in case of proven fraud, a non-conforming product or a breach of these terms, and deduct the corresponding amount from the store’s balance.

8. Suspension and closure

Kivoo may suspend a store or an account, without notice when the situation requires it, in case of a breach of these terms, prohibited content, fraud or attempted fraud, repeated buyer complaints, or at the request of a competent authority. Kivoo informs the account holder of the suspension and of its reason.

A suspended store is no longer accessible to the public and can no longer sell; its owner keeps read access to past sales. A suspended account can no longer sign in and its sessions are revoked. The legitimate balance of a suspended store is paid to the creator after verification, less any refunds owed to buyers.

The creator can temporarily close their store, delete it or delete their account at any time from their dashboard. Deletion does not extinguish obligations that arose before it: delivery of paid orders, refunds owed, retention of data required by law.

9. Liability

Kivoo does its best to keep the platform available and secure, but does not guarantee uninterrupted or error-free operation. Kivoo may interrupt the service for maintenance and tries to inform creators in advance.

Kivoo is not responsible for the products sold by creators, their quality, their legality or their conformity with descriptions, nor for disputes between a creator and a buyer. Kivoo is not responsible for failures of payment providers, mobile network operators, Internet service providers or email services.

To the extent permitted by law, Kivoo’s liability towards a creator is limited to the amount of the commissions Kivoo collected on that creator’s sales during the twelve months preceding the event giving rise to the claim. The creator holds Kivoo harmless against any third-party claim related to the content they publish or sell.

10. Intellectual property

Creators keep all of their rights to the content they publish and sell on Kivoo. Buyers only acquire the licence of use described in section 7 or on the product page.

The Kivoo platform, its brand, its logo, its interfaces and its code are the property of Kivoo. Any reproduction or use beyond the normal use of the service is prohibited without written permission.

11. Personal data

Kivoo collects and processes personal data to run the service. The Privacy policy, available from the footer, describes the data collected, its purposes, the providers who have access to it, how long it is kept and your rights.

A creator who receives their buyers’ contact details (email address, name, phone number) may only use them to fulfil the sale and answer the buyer. They may not hand them over or use them for other purposes without the buyer’s consent.

12. Changes to these terms

Kivoo may change these terms to reflect changes in the service, the law or its practices. The date of the version in force appears at the top of this page. In case of a material change, Kivoo informs account holders by email or from the dashboard at least fifteen days before it takes effect.

Using Kivoo after a new version takes effect means you accept it. If you refuse a change, you can close your store and delete your account before that date.

13. Governing law and disputes

If you run into a problem, contact Kivoo support first: we look for an amicable solution before any other step.

These terms are governed by the law of [country to be specified]. Failing an amicable solution, any dispute about their interpretation or performance is brought before the competent courts of [city and country to be specified], without prejudice to the mandatory consumer-protection rules that apply in the buyer’s country of residence.
